Straight talk. Working software. No agency BS.

You work directly with the developers writing your code. We don't have junior benchwarmers, business analysts, or endless discovery billing.

No juniors learning on your dollar

Every developer on your sprint has 7+ years building real production systems. Saif, Hamza, and Farhan review every architecture decision and pull request.

Written scopes with guaranteed cost ceilings

No open-ended hourly billing. Before sprint one starts, you get a written scope with an exact price ceiling. If we finish in fewer hours, you pay less. Never more.

6-Month bug-fix warranty on all code

We stand behind what we ship. If any defect or regression surfaces in our delivered code within 6 months, we jump in and fix it fast at zero charge.

The engineers in your Slack are the founders.

We don't close your deal and pass you down to a subcontractor. Saif, Hamza, and Farhan run the sprints and push the commits.

Real software engineered for real traffic.

From venture-backed marketplaces to enterprise AI platforms. Here is production software we took from concept to live deployment.

What founders say about shipping with us.

Real founders who trusted us with their core architecture and shipped on time.

“Second startup with Horizon Labs”

“This was my second startup with Horizon Labs and they proved to be the right partner again. Fast execution, direct communication, zero overhead.”

“Moved faster than in-house team”

“Very professional, allowed us to move faster than our in-house team could manage with growing backlogs. Very satisfied with their engineering work.”

Straight answers to how we operate.

No legal jargon. How we handle IP ownership, communications, sprint pacing, and code warranties.

What happens if the project goes over the estimated hours?

You don't pay more. The contract states an hour range, and the maximum is the most you'll ever pay for the agreed scope. New scope added along the way is quoted separately before building.

Who owns the intellectual property and code?

You do. All work happens directly in your GitHub organization, and all IP is assigned to you under a standard US contract.

Can you work with our existing codebase?

Usually, yes. We conduct a free architectural review first and give you an honest appraisal of whether we can accelerate your repo under standard terms or if a rebuild makes more sense.

What does the 6-month warranty cover?

Any bug or defect in code delivered by our team is fixed fast at zero additional cost for 6 months after delivery (6–12 months on hourly engagements).

Pick your stack. We handle the rest.

Whether you need a high-throughput web platform, an autonomous AI pipeline, or a two-sided marketplace, we deploy engineers who've built it before.

How Horizon Labs runs a project: weekly product reviews, written progress reports, and a phased delivery plan

The process, step by step

Week 0

01 · Intro call

A 30-minute call with someone who can actually scope your project, not a sales rep. Bring your idea, your codebase, or your backlog. If we're not the right fit, we'll tell you on this call and point you somewhere better.

Within 72 business hours of the call

02 · Free scoping & written estimate

We map your screens, workflows, and edge cases, then send a written estimate: scope, an hour range, and a hard ceiling. Already have a codebase? We review it free and tell you honestly whether we can work with it.

Week 1

03 · Contract

You contract directly with our US company. The contract lists milestones, deadlines, and the hour range. The maximum in that range is the most you'll ever pay for the agreed scope; if we go over, the overage is on us.

The day after signing

04 · Sprints

Work runs in two-week sprints. Kickoff is usually the day after you sign. You see working software every single week while it grows.

Launch

05 · Launch

Documented, security-reviewed, and SEO-ready. You own every line of code in your own GitHub org.

6 months after

06 · Warranty

If anything we delivered breaks, we fix it free. No ticket triage games, no "that's out of scope."

What working with us actually looks like.

It comes down to three things: cadence (how we communicate), access (what you can see and touch), and estimation (how we price).

Weekly review call

Every week we open the live app and click through it together while we take notes. The product itself is the status report.

Weekly product review call where client and delivery lead click through the live app together

Working hours overlap between California and Türkiye, 6am to 6pm Pacific

A shared issue tracker

Every request, bug, and idea lives in one tracker you can see. "In progress" means we're on it; "resolved" means it's live in production, often within hours of the fix.

Your own test environment

You get a staging environment (with test payment cards where relevant) so you can QA features the same day we ship them.

Direct Slack access

You talk to the engineers building your product, not an account manager relaying messages.

Direct Slack access to the engineers building the product, with no account manager in between

Clean estimation, every time

We define "done" in numbers: users, dates, a demoable scope. Risks in plain English, trade-offs shown. Unknowns become a short discovery sprint instead of open-ended hours.

Written estimate defining done in numbers, with risks and trade-offs stated in plain English

Scoping with your delivery lead

Your delivery lead walks your wireframes feature by feature before anything is priced, and flags what isn't worth building yet. Founders regularly leave scoping calls with a smaller, better plan.

Phase-gated estimates

Hardware + software, one team

The product with which Horizon is helping us is an industrial manufacturing device... We had previous sets of contractors who each made an attempt to get real-time-like performance from the Android front end. They were abysmal failures. Horizon's Gorkem Bendin understands the tradeoffs required for real-time embedded processing and is able to write Android code that partitions the expensive computations outside the fast loops and allows our code to offer timely information to the users of our product. Highly recommended.

Three co-founders who've built together for over a decade.

Serdar and Sinan have known each other since high school. Saif met Sinan on Reddit in 2018. In 2019, Serdar helped Sinan build Cuboh (YC S19), the startup Sinan later sold. The engineers who shipped Cuboh never left: they're the same people managing delivery on client projects today. We didn't assemble a team for this agency. We kept one that already worked.

Serdar Pehlivan

Serdar runs every engagement: project management, product management, and team tracking. When you hire us, he's accountable for your milestones, the same role he played building Cuboh.

Serdar Pehlivan, Co-founder and Delivery Lead at Horizon Labs
Co-founder & COO

Saif Akhtar

An ex-VC building startups since 2010. Saif covers everything non-technical: contracts, go-to-market support, launch planning, and product management.

Saif Akhtar, Co-founder at Horizon Labs

At least two co-founders on every engagement.

Usually Serdar leading delivery alongside your assigned engineers, and Saif on business support. If you're looking for quick, cheap labor that says yes to everything, we're a bad fit. If you want a technical partner that will tell you when your approach is wrong, before you pay for it, we should talk.

Questions we hear on every first call.

What happens if the project goes over the estimated hours?

You don't pay more. The contract states an hour range, and the maximum is the most you'll ever pay for the agreed scope. New scope you add along the way is quoted separately before we build it.

Who owns the code?

You do. All work happens in your GitHub org, and your IP is assigned to you under a US contract.

Can you work with my existing codebase?

Usually, yes. We review it free first and tell you honestly whether we can work with it under our standard terms, or whether a rebuild makes more sense.

Where is the team located?

Management and leadership are in California. Engineers are onshore in the US or nearshore in Türkiye.

What does the warranty cover?

Any defect in code we delivered, for 6 months after delivery (6–12 months on hourly engagements). It doesn't cover scope changes or third-party services breaking their own APIs; we quote those separately.

How fast can we start?

Within 72 business hours of the intro call you get your written estimate, or the follow-up questions we need answered first. Once you sign, kickoff is usually the next day.

Do you use AI to write code?

Yes, deliberately. Senior engineers use AI to cut delivery time without cutting quality; it's why our fixed prices run about half our standard hourly equivalent. Client code only touches AI in secure environments.

See what your project would cost.

Tell us what you're building. After an intro call with our founders, you'll hear back within 72 business hours: a written scope with an hour range and a hard ceiling, or the questions we need answered first.

“Horizon Labs feels like part of our company, even though they're outsourced. They have a strong skill set and are proactive about getting things done.”

Shraysi Tandon · Co-Founder & CEO, Kidsy · built on Sharetribe

We built and scaled our own marketplace MVP on Sharetribe in 2022 before the Sharetribe team invited us into their Expert network. We've since delivered around seven Sharetribe marketplaces: idea to launch to acquisition, plus migrations from Shopify, WordPress/WooCommerce, and Webflow. Same approach every time: launch the smallest useful version, keep you in control of code and budget, extend only when it pays.

Can you take over someone else's code?

Yes: that's most of the rescue lane. We review the codebase free first and give you an honest verdict on what's salvageable before you commit to anything.

Who owns the marketplace during the transition?

You do, throughout. Your marketplace lives in your Sharetribe account, and all work happens in your repo. Nothing we touch changes your ownership.

What if my old developer won't hand over access?

Your Sharetribe account and its code stay yours regardless. Sharetribe can help restore access and connects operators with new Experts when the last one wasn't a fit. We've picked up mid-project more than once.

Rentals, services, products, and everything less standard.

Rental marketplaces

Reliable availability, calendar sync, and buffer times so double-booking doesn't happen. Deposits and check-in/out photos reduce disputes. Owners see simple dashboards and on-time payouts; renters see fees up front.

Service marketplaces

People buy time and expertise, not forms. Simple scheduling with instant book or request-to-book, provider profiles that show proof of quality, and reviews that matter. More completed bookings, more repeat work.

Product marketplaces

Rich listings with the right attributes, tuned search and filters, carts that handle variations, sellers with bulk upload and predictable payouts, plus tax, shipping, and returns set up correctly.

Something less standard

Lessons, events, equipment, or B2B: quotes and approvals, group sizes, waivers, delivery zones, tiered pricing, invoicing with payment terms. Sharetribe gives the foundation; we add only what your model needs.

  • • Building complete new products or MVPs: Full MVPs require discovery and architecture (see our Fixed-Price MVP package).
  • • Multi-month architectural overhauls: Items too large for a sprint will be declined with honest feedback.
  • • Passive committees: Teams unable to provide repo access or feedback during the sprint.

Our story

Built from a working relationship that started in high school.

Sinan (CEO) and Serdar (CTO) have known each other since high school and went to university together. Both became software engineers and kept working together on projects in Türkiye. When Sinan moved to the U.S. for Y Combinator with Cuboh in 2019, he leaned on Serdar to build and manage his offshore engineering bench back in Türkiye. After exiting his YC startup, other startups began asking Sinan to act as a fractional CTO and help them hire reliable engineers. Sinan and Serdar formalized the model and started Horizon Labs. Many of the same engineers who joined them in those early years are still with us today: as managers. Saif (COO) joined in 2022 to run customer success and sales; at our core we are a devshop that builds custom software products.

US-led, with a long-standing senior bench in Türkiye.

How we decide, every sprint.

Start small.

Ship the smallest version that proves value. Define acceptance criteria, cut nice-to-haves, launch in weeks so real usage guides the roadmap.

Talk to users.

Decisions come from conversations and logs. Engineers join calls, we instrument key events, and we change course when the data says so.

Prefer boring tech.

Proven tools with clear upgrade paths. Defaults first, optimization when it pays. Reliability beats novelty every time.

Leave it better.

Small PRs, tests, linting, monitoring. ADRs and plain docs so your team can run the system without us.

Spend like it's yours.

Milestone estimates, open trade-offs for faster vs cheaper, reuse where it makes sense. Fixed-price where scope is clear.

Stay after launch.

We don't measure relationships in contracts. Six-month warranty minimum, and we're available to help transition or fix what breaks.

Work with a team that's been in your shoes.

“The product with which Horizon is helping us is an industrial manufacturing device... Your GTM stack works. Nobody has wired it together.

Horizon Labs is a done-for-you GTM engineering team. We build the connective tissue between your CRM, your content, your automation and your reporting, and we put a name on every deliverable.

Book a call
See fixed-price builds
Illustration of GTM engineering work: a deduped CRM pipeline, lead routing to a named owner, and AI answer visibility measured against competitors
  • You bought the tools. Nobody owns the wiring between them.
  • Your content is AI-drafted, and it is neither ranking nor converting.
  • You cannot tell whether ChatGPT, Claude or Perplexity mention you at all.

Every one of those is an engineering problem wearing a marketing costume.

What “done-for-you” means here

A team, not a solo consultant.

A named owner per deliverable

Not a pooled queue and not an offshore relay. You meet the person before kickoff.

Scope written before work starts

What is in, what is out, and what a revision costs: in writing, before the first hour is billed.

Hours instrumented from day one

So the second engagement is priced on measurements rather than estimates.

We run this on ourselves

Multi-engine orchestration, a Slack bot with runners, scheduled pipelines, live client sites. The portfolio is the operation, not a deck.

Fixed-price builds

Six things, priced before you ask. Scoped in writing. Delivered in weeks, not quarters.

Human-Written B2B SaaS Content

$3,500/mo

Four long-form pieces a month (1,500–2,500 words), each with a named human author, a practitioner interview or primary source, original charts where the data supports one, internal linking and an editorial calendar. Every claim carries a source link.

Written by a person, sourced, and we’ll show you the interview notes.

Not included: SEO guarantees. One revision round per piece; you supply 30 minutes of SME time per piece.

Single Automation Build

$1,500 each · bundle of 5 for $6,000

One automation live in your stack, with error handling, a failure alert to a channel you actually watch, a one-page runbook, and a 14-day fix window. Built in n8n, Make, Zapier or native. Your choice.

Not included: more than one trigger, one workflow, or three connected systems; integrations without a documented API. The 14-day window covers defects in what we built, not changes to your systems and not third-party API changes.

AI Search Visibility (AEO) Setup

$4,500 · 2 weeks

A measured baseline of how often you are mentioned and cited in AI answers versus three named competitors; entity and schema markup; llms.txt; ten priority pages restructured into answer-shaped form; a citation-source placement plan; and a 30-day re-measurement against the baseline.

You cannot see this about yourself. We can measure it.

Not included: ranking or citation-rate guarantees. AI answer surfaces change weekly, and a promised number there is a refund waiting. One brand, one language, ten pages, three competitors. Ongoing: $1,500/mo monitoring, a new number every month, not a retainer that reports the same chart.

CRM Cleanup & Lifecycle Reset

$4,500 · 2 weeks

Your CRM turned back into something the team trusts: deduped, lifecycle stages that mean something, routing that fires, and the reporting that depends on it.

Attribution & Reporting Setup

$3,500 · 1.5 weeks

One source of truth for where revenue came from: events, UTMs, channel definitions, and a dashboard your team will actually open. Pairs naturally with AI Search Visibility: same buyer, same week.

Landing Page + Conversion Build

$4,000 · 2 weeks

One conversion-focused page, designed and built live in Webflow or your stack; responsive to 320px; form or booking integration; analytics and conversion events wired; on-page SEO; a 2-week post-launch bug window.

Not included: CMS, multi-page IA, migrations. One design revision and one build revision. Copy is yours, or add it for $1,500.

Need a logo, a deck or a Figma prototype? We do those too. They just are not on this list, because they belong inside a build, not on a price sheet.

Questions we get asked

How fast can you start?

Kickoff is usually the day after you sign, for fixed-price builds and retainers alike.

Who actually does the work?

A named person per deliverable, introduced before kickoff. Not a pooled queue and not an offshore relay.

What if it takes longer than the estimate?

The price is the price. That is what fixed-price means, and it is why the scope wall on each card is specific.

Do you guarantee rankings or AI citations?

No, and be suspicious of anyone who does. We guarantee the instrumentation, the fixes and an honest monthly read of the movement.

Do we have to buy your tools?

No. You license platforms directly; we set them up.

Can you work with our existing agency?

Yes. Agency subcontracting is normal for us.

Start with the smallest thing that is broken.

One automation, one page, one measured baseline. If it works, the next one is easier to say yes to.

Your machine works. The software hasn't shipped.

Embedded controllers, operator panels, and the companion software that has to keep up with both. Published rates, a written scope, and a hard hour ceiling before you commit.

What we've unstuck.

MK Products had 20 in-house engineers and two years on a stalled embedded build. A 2-engineer Horizon Labs team got it launch-ready in months.

Usually more than once. MK Products went through several. Start with a 3-month trial against a hard hour ceiling. If the cadence isn't there, you've lost a quarter, not a roadmap.

“They won't understand real-time constraints.”

That is the actual failure mode, and it is why panel work is hard. The skill is knowing what must never run inside the fast loop. Ask us to walk through the partitioning on a call before you sign.

Health data is messy. The product shouldn't be.

Cost data, credentials, and eligibility rules that were never designed to be read by a patient. We build the software layer that makes them legible, and we work inside a BAA when your build touches ePHI.

Healthtech we've shipped.

Our co-founder built Türkiye's national healthcare portal, then shipped diagnostics and insurance infrastructure at Tasso Health and Oscar Health before starting Horizon Labs. For Yura Health we built the cost-transparency engine end to end: the federal NPI registry and machine-readable payer pricing in, a real out-of-pocket number out.

“Horizon Labs is a high quality, responsive team with fast turnaround on sprints.”

Dan Lee · Co-Founder & CEO, Yura Health

“Horizon Labs vastly increased our visibility into technical workflows and capacity to achieve projected outcomes. They have a fast and reliable team with exceptional integrity.”

“Most agencies overstate their compliance experience.”

We work under a BAA when your build touches ePHI, and we scope the evidence a customer security review actually asks for: ePHI mapped from collection through deletion, vendor boundaries resolved before integration, least privilege across users, staff and services, and audit controls that support an investigation.

“Clinical review will blow up the timeline.”

It will if it arrives at the end. We scope review cycles into the hour range up front, and the ceiling holds whether or not the reviews run long.

Where our lane ends.

Our device experience is industrial. MK Products is an ISO-certified manufacturer and our scope there spans Android, embedded, USB, kiosk and device debugging. That is not medical-device work, a safety outcome, or evidence of regulatory compliance, and we will not present it as any of those.

“Horizon's Gorkem Bendin understands the tradeoffs required for real-time embedded processing and is able to write Android code that partitions the expensive computations outside the fast loops and allows our code to offer timely information to the users of our product. Highly recommended.”

“You've never shipped a cleared device.”

Correct, and we lead with it. What we bring is senior embedded and connected-systems engineering, plus a published working knowledge of the standards your file has to satisfy. You keep the submission.

“An outside team will contaminate our design controls.”

Scope is bounded and documented, code lands in your repo, and the deliverable is written to slot into your existing design history file rather than sit beside it.

You aren't paying for one. Read our compliance glossary covering IEC 62304, ISO 13485, ISO 14971, the FDA QMSR and Section 524B before the call, and judge for yourself.

The full code

Last updated September 25th, 2026

Why we have this code

Horizon Labs builds software with clients, partners and a distributed team of engineers, designers and operators. This code sets out how we expect everyone to behave when they work with us or represent us, so that every project is professional, respectful and safe for the people involved.

Who it applies to

This code applies to Horizon Labs founders, employees, contractors and anyone else working on our behalf. It covers every place where our work happens: client meetings and calls, shared Slack channels, code repositories and issue trackers, email, events, and our public channels such as social media and community forums. We ask clients, partners and community members we interact with to follow the same standards.

What we expect

  • Treat people with respect, whatever their background, identity, role, experience or location.
  • Communicate honestly. Tell clients about risks, trade-offs and bad news early, in writing, and never overstate what we can deliver.
  • Give and accept feedback on the work, not the person.
  • Take ownership of mistakes, fix them, and share what we learned.
  • Keep commitments on scope, hours and timelines, and raise it as soon as one is at risk.
  • Work in the open with clients: in their repositories, their trackers and their channels.

What is not acceptable

  • Harassment, intimidation or discrimination of any kind, in public or in private.
  • Insulting, demeaning or sexualized comments, imagery or advances.
  • Sharing someone's personal information without their permission.
  • Misrepresenting our experience, our work, our progress or the hours spent.
  • Any other conduct that would reasonably be considered inappropriate in a professional setting.

Confidentiality, security and client code

  • Client code, data, credentials and business information are confidential. We use them only for the client's work.
  • We follow each client's security and access rules, use only the access we need, and remove it when the work ends.
  • Client code and data only touch AI tools in secure environments agreed with the client.
  • Intellectual property belongs to whoever the signed agreement says it belongs to. We do not reuse one client's confidential work for another.

Conflicts of interest

Anyone working for Horizon Labs must tell us about any personal or financial interest that could affect their judgment on a project, such as a relationship with a vendor we are recommending or a competitor of a client.

Reporting a concern

If you experience or see behavior that breaks this code, please tell us through our contact page or at info@horizon-labs.co. You can also raise it directly with either co-founder. We will review every report promptly and fairly, keep the reporter's identity as private as we can, and not tolerate retaliation against anyone who raises a concern in good faith.

What happens next

Depending on what happened, we may respond with a private conversation and written warning, removal from a project or channel, ending a contract or working relationship, or, where required, involving the appropriate authorities. We will tell the people involved what we decided and why, as far as privacy allows.

Changes

We may update this code as our team and work change. The date above shows the latest version.

11. TERM AND TERMINATION

These Terms of Use shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE OR DELETE ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

12. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.

We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance of the Site. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.

13. GOVERNING LAW

These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Washington applicable to agreements made and to be entirely performed within the State of Washington, without regard to its conflict of law principles.

14. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each "Dispute" and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved through binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in the State of Washington. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in the State of Washington, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) is excluded from these Terms of Use.

In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
