Terms of Use

These Terms of Use constitute a legally binding agreement between you and Horizon-Labs.co, dba Rapic, Inc. By accessing horizon-labs.co you acknowledge that you have read and agreed to be bound by all terms below.

1. Agreement to terms

The company is registered in Washington, United States. We reserve discretion to modify these Terms; changes are indicated by updating the Last Updated date, and continued use of the Site constitutes acceptance of any revised terms. The Site is not intended for distribution where doing so would violate local laws and does not comply with industry-specific regulations like HIPAA or FISMA. Users must be at least 18 years old.

2. Intellectual property rights

All content on the Site — source code, designs, text, graphics, audio, and video — is owned or licensed by the company and protected by copyright and trademark laws. We grant eligible users a limited license to access and use the Site and download content for personal, non-commercial purposes only. No part of the Site may be copied, reproduced, aggregated, or republished for any commercial purpose without our express prior written permission.

Users agree not to systematically retrieve data without written permission; defraud or mislead the company or other users; circumvent security features; disparage or harm the company or Site; harass, abuse, or harm others; misuse support services; violate applicable laws; engage in unauthorized framing or linking; upload viruses, malware, or spam; use automated systems, scripts, or data mining; delete copyright notices; impersonate other users; interfere with Site operations; bypass access restrictions; copy, adapt, or reverse engineer Site code; use buying agents; collect user information for unsolicited emails; compete with the company; advertise or sell goods on the Site; or transfer user profiles.

5. User generated contributions

While the Site does not typically offer content submission, if users submit content (text, video, audio, photos, comments) they represent and warrant that their contributions do not infringe third-party intellectual property rights, that they own the content or have necessary licenses and permissions, that content is not false, misleading, obscene, violent, harassing, libelous, or spam, that content does not violate privacy or publicity rights, and that content complies with applicable laws.

6. Contribution license

The company may access, store, process, and use information provided in accordance with the Privacy Policy. Users grant the company permission to use feedback for any purpose without compensation. We do not assert any ownership over your Contributions; you retain full ownership of all your Contributions and any intellectual property rights associated with them. Users are solely responsible for their contributions and agree to release the company from liability.

7. Submissions

Questions, comments, suggestions, ideas, and feedback submitted to the company (Submissions) become the company's non-confidential sole property. We own exclusive rights, including all intellectual property rights, and are entitled to unrestricted use and dissemination of Submissions for any lawful purpose. Users waive moral rights to submissions and warrant that submissions are original or that they have rights to submit them.

8. Third-party websites and content

The Site may contain links to third-party websites and content. The company does not investigate, monitor, or verify these resources and is not responsible for their accuracy, content, or policies. Inclusion of links does not imply endorsement. You access third-party content at your own risk, and these Terms no longer apply. You should review the applicable terms and policies of any website to which you navigate from the Site. The company takes no responsibility for third-party purchases.

9. Site management

The company reserves the right to monitor the Site for violations, take legal action against violators, refuse, restrict, or disable user contributions, remove excessive or burdensome files, and manage the Site to protect its rights and property.

Users agree to be bound by the Site's Privacy Policy at https://www.horizon-labs.co/privacy-policy, incorporated into these Terms. The Site is hosted in the United States. Users from other jurisdictions acknowledge that continued use transfers their data to the United States for processing.

11. Term and termination

These Terms remain in effect during Site use. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Site to any person for any reason or for no reason. The company may delete content or terminate participation without warning. Terminated users cannot create new accounts under any name.

12. Modifications and interruptions

The company reserves the right to change, modify, or remove Site contents at any time without notice. We have no obligation to update any information on our Site. The company may modify or discontinue the Site without liability and cannot guarantee the Site will be available at all times.

13. Governing law

These Terms are governed by Washington state law without regard to conflict of law principles.

14. Dispute resolution

Parties agree to negotiate disputes informally for at least thirty days before initiating arbitration. Unresolved disputes are resolved through binding arbitration under American Arbitration Association (AAA) Commercial Arbitration Rules. You understand that without this provision you would have the right to sue in court and have a jury trial. Arbitration occurs in Edmonds, Washington, and the arbitrator's decision is final and binding.

Arbitration is limited to individual disputes; class actions and representative actions are prohibited. Disputes involving intellectual property rights, theft, piracy, privacy invasion, and requests for injunctive relief are excluded from arbitration and may be litigated in court. No dispute may be commenced more than one year after the cause of action arises.

15. Corrections

The company reserves the right to correct typographical errors, inaccuracies, or omissions without prior notice.

16. Disclaimer

The Site is provided on an as-is and as-available basis. You agree that your use of the Site and our services will be at your sole risk. The company disclaims all warranties, express or implied, and makes no warranties or representations about the accuracy or completeness of the Site's content or any linked websites. The company assumes no liability for errors, personal injury, property damage, unauthorized access, transmission interruptions, viruses, or loss resulting from Site use.

17. Limitations of liability

The company maintains data transmitted to manage Site performance. Users are solely responsible for all data they transmit. You agree that the company shall have no liability for any loss or corruption of such data. The company uses Microsoft Clarity analytics to understand Site usage. By using the Site, users consent to data collection and use; additional details appear in the privacy statement.

20. Electronic communications, transactions, and signatures

Visiting the Site, sending emails, and completing online forms constitute electronic communications. Users consent to receive electronic communications satisfying legal writing requirements. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions. Users waive requirements for original signatures or non-electronic records.

22. Miscellaneous

These Terms and any Site policies constitute the entire agreement. The company's failure to enforce any right does not waive that right. The company may assign its rights and obligations. The company is not responsible for loss or failure caused by circumstances beyond reasonable control. If any provision is determined unlawful or unenforceable, it is severable without affecting remaining provisions. No employment, partnership, or joint venture relationship exists between users and the company.
